General Terms and Conditions

1 · Scope

These general terms and conditions apply to all contracts between SYNK GROUP GmbH & Co. KG (“SYNK”) and its clients concerning consulting, training, coaching and digital services. Participation in openly advertised seminars and qualification programmes is additionally governed by the seminar terms

Terms of the client that differ from these take effect only if SYNK agrees to them in writing. These terms apply towards businesses, legal entities under public law and special funds under public law.

2 · Offer and conclusion of contract

Offers by SYNK are without obligation unless expressly stated to be binding. A contract comes about through SYNK’s written order confirmation or through the start of performance. Enquiries via the contact form on this website are not an offer in the legal sense.

3 · Scope of services

Scope, content and period of the service follow from the respective offer or order confirmation. SYNK owes the careful performance of the agreed service, not a particular commercial outcome.

SYNK may engage suitable third parties (associates, trainers). Responsibility towards the client remains with SYNK. There is a claim to a particular person only where that has been expressly agreed; if that person is unavailable, SYNK may substitute an equally qualified one.

4 · The client’s cooperation

The client provides the information, contacts, rooms and technical conditions required for the service in good time. Delays arising from a failure to do so are not at SYNK’s expense.

5 · Fees and payment

The fee stated in the offer applies, plus statutory VAT. Travel and accommodation costs are invoiced separately unless agreed otherwise.

6 · Cancellation and postponement

If the client cancels or postpones an agreed date, the reserved period is invoiced depending on when the cancellation is received.

7 · Rights of use in materials

Concepts, materials, models and evaluations produced by SYNK are protected by copyright. The client receives the right to use them within its own organisation for the agreed purpose. Passing them to third parties, reproducing them beyond that purpose and using them in the client’s own offerings require prior written consent.

8 · Confidentiality

Both sides treat all information learned in the course of the cooperation as confidential and use it only for the agreed purpose. This continues beyond the end of the cooperation. Content from coaching and individual conversations is not reported back to the client; only what has been expressly agreed and is known to the participants is reported.

SYNK may name the client as a reference only with the client’s prior consent.

9 · Data protection

Where personal data is processed on the client’s behalf in the course of the cooperation, the parties conclude an agreement under Art. 28 GDPR. Processing on this website is governed by the privacy notice

10 · Liability

SYNK is liable without limitation for intent and gross negligence and for damage arising from injury to life, body or health. In cases of ordinary negligence SYNK is liable only for breach of material contractual obligations, and limited in amount to the foreseeable damage typical of the contract. Any further liability is excluded. Liability under the German Product Liability Act remains unaffected.

11 · Final provisions

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Frankfurt am Main insofar as the client is a merchant, a legal entity under public law or a special fund under public law.

Should any provision be invalid, the validity of the remainder is unaffected.
